Memorandum of Understanding: Between 24/7 Education, dba 24/7 Teach, and the party named above. I. Preamble This Memorandum of Understanding (MOU) is entered into by 24/7 Education, operating under the trade name "24/7 Teach", hereinafter referred to as "24/7 Teach," and the party named above, hereinafter referred to as "Partner." This MOU establishes a framework for cooperation between both parties based on the terms and objectives outlined below. II. Project Purpose and Objectives Purpose: See the addendum for the specific purpose of the MOU. Objective: See the addendum for the specific objective of the MOU. III. Roles and Responsibilities See the addendum for the specific roles and responsibilities of the MOU. IV. Duration This MOU shall remain in effect until superseded by a formal equity agreement or a written agreement signed by all parties to terminate it. a. If the MOU remains dormant for more than six months either of the parties, either party may terminate the MOU by giving 15 days' prior notice to the other party. V. Termination Either party may terminate this MOU with a 30-day written notice. In the event of termination, a clear roadmap will be laid out to ensure the completion of any ongoing work or to hand over any shared assets or resources. a. In case of termination of the MOU for whatever reason, it is agreed that parties shall not claim each other for reimbursement of the expenses, cost, or damage sustained. VI. Confidentiality Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the collaboration unless disclosure is mutually agreed upon. VII. Amendments Any changes or amendments to this MOU will require written consent from both parties. VIII. Intellectual Property All intellectual property, including but not limited to course materials, designs, logos, and technology platforms developed during the collaboration, shall remain the property of the originating party unless otherwise agreed upon in writing. Shared intellectual property developed collaboratively will be jointly owned, and any use outside of this project will require mutual consent. IX. Dispute Resolution Should any disputes arise in relation to this MOU or the collaboration it governs, both parties agree first to seek an amicable resolution through direct discussions. If this does not resolve the issue, the parties agree to consider mediation before resorting to formal legal action. X. Financial Agreement Each party's financial responsibilities and commitments will be detailed in a separate Financial Agreement, which will outline the budget, payment schedules, and any revenue-sharing models if applicable. XI. Force Majeure Neither party shall be held liable for a delay or failure to fulfill its obligations under this MOU due to unforeseen circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, wars, strikes, or government regulations. XII. Governing Law This MOU will be governed by and construed in accordance with the laws of the state of New York. XIII. Entire Agreement This MOU and any accompanying annexes or referenced documents constitute the entire understanding between 24/7 Teach and Partner and supersede all prior discussions, agreements, and understandings of every kind and nature between them. XIV. Signatures This MOU is not a legally binding agreement but serves as a guide for the collaboration between 24/7 Teach and Partner. XV. Dispute Resolution: Any disputes arising from this Agreement shall first attempt to be resolved through mediation. If mediation fails, disputes will be settled by arbitration in accordance with the rules of the American Arbitration Association, with the losing party responsible for all costs of such arbitration.
