Pilot Program Agreement - Naomi Implementation in Schools/Organizations (Printable Version)
THIS AGREEMENT is made and entered into the date listed above and between 24/7 Education Inc, hereinafter " or “Provider", a corporation with its principal place of business at 105 West 125th St - Front 1 #1221, New York, NY, 10027, United States, the party named above (hereinafter "School/Organization"), with its principal place of operation listed above.
1. Introduction
This Agreement outlines the terms for the School/Organization's participation in the pilot program ("Pilot Program") for the implementation of Naomi, an AI-powered guidance counselor and career coach developed by Provider.
2. Scope of Pilot Program
The School/Organization agrees to integrate Naomi into its educational and counseling services for the duration of the Pilot Program.
The Pilot Program aims to assess the effectiveness and impact of Naomi on students, educators, and the school /organization's service environment.
3. Responsibilities of the School
The School/Organization will ensure that its principal, guidance counselors, educators, and students participating in the Pilot Program are adequately informed about Naomi and its intended use.
* The School/Organization agrees to facilitate the completion of surveys and feedback forms by the aforementioned parties.
* The School/Organization will provide the necessary support and resources for the effective implementation of Naomi.
4. Data Collection and Metrics
The School agrees to participate in data collection efforts to evaluate the effectiveness of Naomi based on the following metrics:
* User Satisfaction and Feedback: Collecting feedback on Naomi's usability, effectiveness, and impact.
Counselor and Educator Workload
* Reduction: Measuring changes in workload in areas supported by Naomi.
* Student Engagement and Participation Rates: Tracking changes in student engagement and participation.
* School-Wide Academic Performance: Assessing overall academic performance metrics.
* Behavioral and Disciplinary Incidents: Monitoring changes in behavioral and disciplinary incidents.
* College and Career Preparation Success: Evaluating college admissions and career placement success rates.
* Mental Health and Well-being Support: Measuring Naomi's effectiveness in supporting mental health initiatives.
* Professional Development Opportunities: Assessing Naomi's contribution to educators' and counselors' professional development.
* Student Engagement Rates with Naomi: Monitoring student interaction frequency and duration with Naomi.
* Academic Performance Improvements: Assessing changes in academic performance pre- and post-Naomi use.
* Student Well-being and Satisfaction Surveys: Conducting surveys on mental health, satisfaction, and overall well-being.
* Post-Secondary Success Rates: Tracking college admissions, scholarship acquisitions, and career placements among Naomi users.
5. Confidentiality
All data collected will be treated as confidential and used solely for the purpose of evaluating the Pilot Program.
The Provider agrees to protect any confidential information obtained from the School/Organization.
6. Term of Agreement
The Pilot Program will commence on mutually agreed upon and conclude 16 Months from the start date, unless extended or terminated earlier by mutual agreement.
7. Termination
Either party may terminate this Agreement with written notice. Upon termination, the School/Organization shall cease all use of Naomi and return any materials provided by the Provider.
8. Liability
The Provider is not liable for any indirect or consequential damages arising from the use of Naomi.
9. Governing Law
This Agreement shall be governed by the laws of the jurisdiction in which the Provider is headquartered.
10. Implementation and Training
The Provider will assist the School/Organization in the initial setup and integration of Naomi into its systems.
* The Provider will provide necessary training to the School/Organization's staff and educators on how to effectively use Naomi.
* Regular check-ins will be scheduled to ensure smooth operation and address any issues.
11. Support and Maintenance
The Provider agrees to offer technical support throughout the duration of the Pilot Program.
* Any updates or maintenance required for Naomi will be communicated and scheduled in advance to minimize disruption.
12. Feedback and Review Sessions
Regular feedback sessions will be held between the School and the Provider to discuss the progress of the Pilot Program.
* The School agrees to provide constructive feedback for the improvement of Naomi.
13. Data Use and Reporting
The Provider will compile and analyze data collected during the Pilot Program.
* A comprehensive report detailing the findings and recommendations will be provided to the School at the end of the Pilot Program.
* The School agrees to cooperate in case studies or testimonials, where applicable, to showcase the impact of Naomi.
14. Modifications to the Agreement
Any modifications to this Agreement must be made in writing and signed by both parties.
* Verbal agreements or understandings not documented in this Agreement will not be recognized.
15. Compliance with Laws and Regulations
Both parties agree to comply with all applicable laws and regulations in the execution of this Agreement.
* The School/Organization is responsible for ensuring that the use of Naomi complies with local educational policies and guidelines.
16. Intellectual Property Rights
The intellectual property rights of Naomi and all related materials remain with the Provider.
* The School is granted a temporary, non-exclusive license to use Naomi for the duration of the Pilot Program.
17. Limitations of Pilot Program
The School/Organization acknowledges that Naomi is in a pilot phase and may have limitations.
*The Provider does not guarantee that Naomi will meet all of the School's requirements or be free of errors.
18. Indemnification
Each party agrees to indemnify and hold harmless the other party from any claims, damages, or expenses resulting from its breach of this Agreement.
19. Entire Agreement
This Agreement constitutes the entire agreement between the parties regarding the subject matter and supersedes all prior agreements and understandings, whether written or oral.
By signing above, both parties agree to the terms and conditions outlined in this Pilot Program Agreement.
